Plain language summary. By using the website or the Rooms you agree to these terms. EthicaFi introduces business owners and investors; it does not lend, invest, hold money or give financial advice. Applying creates an account but promises nothing. Information you see about a business after signing a confidentiality agreement is confidential and may be used only to evaluate that opportunity. You are responsible for the accuracy of what you tell us. Approval is at EthicaFi's discretion and can be withdrawn.
1. Who we are and what we do
EthicaFi LLC ("EthicaFi") operates a matchmaking platform that introduces business owners seeking Shariah-compliant financing to investors. Arrangements between them are structured as Musharakah or Murabaha contracts reviewed by our Shariah Advisory Board. EthicaFi is not a party to those arrangements, is not a bank, lender, broker-dealer, investment adviser or custodian, and does not hold or move user funds.
2. Accounts
Applying or registering on the website creates an account in the Business Room or the Investor Room with the status "applicant". You must be at least 18, provide accurate information, keep your password private, and tell us promptly if anything you provided changes. One person, one account. You are responsible for activity under your account.
3. Applications, review and approval
After you complete your profile, a person at EthicaFi reviews it. We may approve it, decline it, or ask for a short call first. Approval is at our discretion, may be conditioned on identity and investor-status verification by an independent service, and may be suspended or withdrawn at any time, including for inaccurate information or misuse of the platform. Submitting an application creates no obligation on either side and does not guarantee financing, an introduction, or access to any opportunity.
4. Verification
Before approval, we may require you to complete identity verification and, for investors, verification of investor status through an independent verification service. You agree to provide accurate documents to that service. EthicaFi receives only the result and a reference.
5. Confidentiality
Listings are anonymised until an investor signs the confidentiality agreement for that specific business. By signing, the investor agrees to use the information disclosed solely to evaluate a possible financing arrangement, not to disclose it to anyone other than their own professional advisers, and not to contact the business owner except through an introduction made by EthicaFi. Each signature is recorded with the agreement version and text, the typed name, time, IP address and browser, and every opening of a profile or document is logged. These records are permanent and are available to both the business owner and EthicaFi. Breach of confidentiality may result in immediate removal from the platform and may give the business owner and EthicaFi legal remedies.
6. Business owners' listings
Business owners write their own listing, including the anonymised description investors see first, and confirm the final version before it is published. You represent that what you publish is accurate and that you have the right to share the documents you upload. EthicaFi may edit a description to protect your identity, may decline to publish, and may remove a listing.
7. Introductions
An investor may request an introduction after signing for a business. EthicaFi screens the request and asks the business owner, who decides whether to accept. Contact details are exchanged only after acceptance. EthicaFi does not negotiate, advise on, or guarantee any arrangement that follows.
8. Fees
EthicaFi's platform fees are described on the website and disclosed in writing before any arrangement is signed. They are service charges (Ujrah) and are not interest.
9. No financial, legal or tax advice
Nothing on the platform is investment, financial, legal, tax or Shariah advice to you personally. Investments in private businesses carry risk, including loss of the amount invested, and are illiquid for the term of the arrangement. Take your own advice.
10. Acceptable use
You agree not to use the platform unlawfully; to submit false or misleading information; to share your access or another person's confidential information; to scrape, probe or interfere with the platform; to impersonate anyone; or to contact a business owner or investor outside the platform before an introduction is made.
11. Intellectual property
The platform, its content, the EthicaFi name and logo belong to EthicaFi LLC or its licensors. You may not copy, reproduce or distribute them without written permission. Information you submit remains yours; you grant EthicaFi the right to use it to operate the platform as described in the Privacy Policy.
12. Availability and changes
The platform is provided as is and as available. We may change, suspend or stop any part of it. During the private alpha period features may change without notice.
13. Disclaimers and limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ETHICAFI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, ADVISERS AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, AND ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM AN ARRANGEMENT BETWEEN A BUSINESS OWNER AND AN INVESTOR. ETHICAFI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PLATFORM IS LIMITED TO THE FEES YOU PAID ETHICAFI IN THE TWELVE MONTHS BEFORE THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless EthicaFi LLC and its officers, directors, employees and agents from claims arising from your breach of these terms, your misuse of confidential information, or information you provided.
15. Communications
By creating an account you consent to receive transactional emails about your application and account. Educational emails can be unsubscribed at any time. Text messages follow the opt-in terms in the Privacy Policy.
16. Governing law and disputes
These terms are governed by the laws of the State of Florida. Disputes are first raised with EthicaFi in good faith through the contact page; unresolved disputes are brought in the state or federal courts located in Palm Beach County, Florida. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
17. Severability, entire agreement, changes
If any provision is unenforceable the rest remains in effect. These terms, the Privacy Policy and the confidentiality agreements you sign are the entire agreement between you and EthicaFi for the platform. We may change these terms; material changes are posted with a new date and emailed to registered users before they take effect.
